German GmbH sweat equity in 2026: what should non-residents check?
German GmbH sweat equity in 2026: is a discounted stake taxable? Explore residence, LLC classification, valuation and gift-tax risks before acquiring shares.

Acquiring German GmbH shares at a low price in return for services requires separate checks of income tax, gift tax, residence and share valuation. Moving abroad or using a US LLC does not, by itself, settle the German tax treatment, which depends on individual circumstances.
This article considers a typical proposed acquisition in the 2026 tax year. It uses no client-specific figures; future dividends and disposals require a review of the rules applicable in their own tax years.
What is sweat equity?
Sweat equity describes an arrangement in which a person contributes work, expertise or a long-term commitment in exchange for an ownership interest. In a typical case, an independent consultant working outside Germany is offered a minority stake in a German GmbH at a price below the value suggested by its business prospects.
The central question is what the consultant receives and what is given in return. A low cash price is not enough to establish either a taxable gift or a tax-free commercial transaction. The share purchase, service obligations and valuation need to tell a consistent story.
Buying existing shares from a shareholder and subscribing for newly issued shares are also different transactions. Their consequences should be compared before either route is chosen.
Why the acquisition date and residence matter
German tax residence depends on actual circumstances, including an available dwelling and habitual abode. Municipal deregistration is evidence of departure, but it does not replace the factual residence analysis under sections 8 and 9 AO.
For a departing shareholder, section 6 AStG can bring an unrealised gain within German exit taxation. A key residence-history condition is unlimited German income tax liability for at least seven of the previous twelve years. The provision concerns shareholdings within section 17 EStG, whose participation test includes a holding of at least 1% within the relevant statutory period.
An acquisition before departure can therefore have a different result from an acquisition after German residence has genuinely ended. Holding shares through a foreign entity also requires analysis of the interest owned by the individual.
A timeline should identify the end of residence, contractual signing and the transfer of economic ownership. It must also account for other existing holdings: acquiring a new stake after departure does not resolve exit-tax questions concerning shares already owned.
Can Germany tax services performed abroad?
Non-residence changes the scope of German income taxation; it does not remove every German taxing right.
Section 49 EStG identifies German-source income subject to limited tax liability. Different categories use different connecting factors:
Business income may be connected with a German permanent establishment or permanent representative.
Independent professional income can raise questions about activities performed or exploited in Germany.
Employment income has its own sourcing rules.
German dividends and qualifying gains on German company shares are separately addressed.
The first step is therefore to classify the activity and identify the recipient of the benefit. The answer can change if the consultant is an employee, an independent professional, a business operator or a person working through a separate company.
A German customer alone does not settle the analysis. Equally, performing work abroad is insufficient grounds for a blanket exemption claim.
Why a US LLC needs a German classification review
Germany does not automatically follow the US tax classification of an LLC. The German approach compares the entity's legal characteristics with German entity types, commonly called a Typenvergleich.
The operating agreement and applicable company law matter. Management arrangements, members' rights, liability, transferability and profit-distribution provisions are relevant to the review.
The result affects who Germany regards as receiving the share discount, service income, dividends and eventual disposal proceeds. A transparent LLC and an LLC treated as a corporation can produce different outcomes.
Classification is only one part of the assessment. The place of management, actual activity, German presence and any applicable treaty conditions must also be checked. An LLC should not be selected solely on an assumed German tax saving.
Could a discounted share transfer involve gift tax?
Income tax and gift tax ask different questions. A conclusion that a benefit is outside a particular income-tax category does not establish that gift tax is irrelevant.
Under section 2 ErbStG, German gift-tax exposure can arise through the status of the parties. Moving abroad does not necessarily remove that exposure.
For an acquisition of existing shares, section 7(1)(1) ErbStG raises the question of gratuitous enrichment. A documented commercial exchange is relevant, but describing a discount as payment for future work is not conclusive.
The contracts should explain:
Which services are paid for by the ongoing fee.
Which additional obligations support the equity allocation.
What happens if those obligations are not fulfilled.
How the parties established the value of the shares and the consideration.
Capital measures need a separate review, including the potential relevance of section 7(8) ErbStG. The outcome depends on the actual contributions, rights and changes in value. Neither an existing-share purchase nor a capital increase should be presented as universally safe.
How should the shares be valued?
Nominal share capital, annual revenue and the market value of a stake are different measures. Revenue is not the value of the company, and a young business is not automatically worth only its paid-in capital.
The analysis refers to section 11(2) BewG and sections 199–203 BewG. Relevant considerations include recent arm's-length transactions, earnings prospects, recognised valuation methods and the statutory asset-value floor.
The simplified capitalised earnings method is conditional: it is not an automatic final step whenever other methods are unavailable. It should not be used where it produces obviously incorrect results.
For a young business, limited trading history makes the assumptions particularly important. A valuation prepared for the transaction should explain the business outlook and the method chosen. Contractual restrictions should not automatically be assumed to reduce the tax value.
What does reverse vesting achieve?
Reverse vesting generally means that shares are transferred upfront, subject to a mechanism requiring some shares to be transferred back if specified conditions are not met.
It can support the commercial purpose of a long-term service arrangement. It does not automatically defer tax until vesting ends or prove that no gift exists.
The economic-ownership analysis considers the rights actually transferred, including voting and dividend rights and the repurchase conditions. Leaver provisions also need a company-law review.
The share purchase agreement, shareholders' agreement and service agreement should work together. Transfer obligations involving GmbH shares require attention to German notarial formalities.
What else should be checked before signing?
The acquisition is only the first tax event. A complete review should also consider future dividends, disposal proceeds and remuneration.
Management fees must correspond to real, documented services and satisfy applicable arm's-length requirements. A German office, regular representation or management activity can change the foreign service company's German exposure.
The residence country and, where relevant, the United States may classify the entity and income differently. German analysis alone cannot establish the overall result or whether foreign tax credits will eliminate double taxation.
Before closing, assemble a coherent file containing the residence timeline, entity-classification review, valuation, service obligations and share-transfer documents. Resolve the material assumptions while the structure can still be changed.
Frequently asked questions
Is buying shares at nominal value automatically a gift?
No. The review compares the value transferred with the consideration and examines the legal conditions for gift taxation. A nominal price requires explanation where the stake may have a higher market value.
Does deregistration prove that German tax residence has ended?
No. The availability of a dwelling and the actual pattern of residence remain decisive. Administrative records should support the underlying facts.
Does a US disregarded LLC have the same treatment in Germany?
Not necessarily. Germany applies its own entity-classification analysis, so the US label does not determine the German result.
Does reverse vesting postpone tax until all shares vest?
Not automatically. The timing depends on economic ownership and the specific arrangement, rather than the vesting label alone.
Can Germany tax a later sale after the shareholder has moved abroad?
Potentially. Section 49 EStG includes qualifying gains on German company shares; the ownership structure and any applicable treaty must also be examined.
Is a German review enough for an international structure?
No. The residence country and other relevant jurisdictions need to assess the same arrangement, including entity classification, income attribution and double-tax relief.
