German GmbH sweat equity in 2026: what tax risks arise after moving abroad?
Receiving German GmbH shares for services in 2026? Tax depends on residence, LLC classification and valuation. Explore income tax, gift tax and vesting.

Receiving discounted shares in a German GmbH in exchange for services can raise separate income tax, gift tax and valuation questions. Moving abroad or acquiring through a US LLC does not settle them automatically: the outcome depends on the exact ownership, residence, contracts and individual circumstances.
This article discusses a typical transaction in the 2026 tax year; it uses no client-specific figures and does not forecast the rules for a later disposal.
The typical situation
A consultant living outside Germany considers acquiring a minority interest in a young German GmbH at nominal value. The commercial arrangement includes ongoing services and a right for the seller to recover shares if the consultant leaves early. A US LLC may act as the purchaser and service provider.
The central question is what the purchaser receives in return for what it gives. A low cash price may reflect a genuinely low business value, remuneration for work, or an element of gratuitous enrichment. These possibilities need separate analysis.
Establish residence and acquisition timing
German residence depends on the actual circumstances. Under sections 8 and 9 AO, retaining a dwelling available for use or a habitual abode can matter even after an administrative deregistration.
Before signing, establish when German unlimited tax liability ends and when economic ownership of the shares passes. Keep evidence of the move and of any accommodation still available in Germany.
Section 6 AStG can impose exit taxation on qualifying shareholdings when its residence-history and other statutory conditions are met. Acquiring shares before leaving may therefore produce a different result from acquiring them afterwards. A later acquisition does not resolve the treatment of interests already held at departure, including an existing foreign entity.
This is a timing review, not a universal instruction to move first and assume all German tax exposure disappears.
A US LLC needs a German classification review
Germany uses a Typenvergleich, comparing the LLC's legal characteristics with German company types. The BMF letter of 19 March 2004 provides the relevant framework. US treatment as a disregarded entity does not determine the German result.
The operating agreement and applicable entity law matter. Relevant features include management, liability, transferability, allocation and distribution of profits, continuity and formation requirements. No single label supplies the answer.
Classification affects whether income is attributed to the LLC or its members. It also affects the analysis of dividends, a later sale and potential relief. The classification should be established before relying on any projected tax saving.
Does Germany tax the discount as income?
For a non-resident, section 49 EStG identifies the categories of German-source income that Germany may tax.
The nature of the services matters. Business income, independent professional income and employment income do not share identical connecting factors. A German permanent establishment or permanent representative can be decisive for business income; other categories can involve work performed or exploited in Germany.
Accordingly, working from abroad is relevant but does not justify a blanket statement that discounted shares are outside German taxation. Review the recipient, the contractual consideration, the activity, any German presence and the applicable treaty position together.
Employee share provisions should not be assumed to apply to an external consultant or an LLC simply because the arrangement is called “sweat equity”.
Gift tax is a separate question
Income tax residence does not, by itself, determine German gift tax exposure. Section 2 ErbStG contains its own connecting rules, which can include the donor's German residence or a company's German seat or management.
A transfer below market value requires examination of whether there is gratuitous enrichment. Under section 7(1) no. 1 ErbStG, the contractual exchange and the parties' understanding matter. Documenting services is relevant, but a service agreement or a reverse-vesting clause alone does not prove that the entire value transferred is paid for.
Capital contributions and increases in the value of other shareholders' interests may engage section 7(8) ErbStG. Purchasing existing shares and subscribing for newly issued shares are therefore not interchangeable. Neither route should be described as automatically gift-tax-free.
Revenue is not the value of the shares
Under section 11(2) BewG, unlisted shares are valued at fair market value. Recent sales between unrelated parties are relevant; otherwise, earnings prospects or another recognised valuation method must be considered. The statutory net asset value floor also matters.
A young company's turnover is neither its profit nor its equity value. Equally, a short trading history or low initial profitability does not establish that the shares are worth only nominal capital.
Obtain a valuation relevant to the acquisition date. It should explain the business prospects, assets and liabilities, valuation method and the rights attached to the stake. Do not automatically deduct the effect of personal transfer restrictions or leaver clauses from the tax value.
If the shares have material value beyond the cash price, the documentation must explain the consideration for that difference. Where services also receive a separate market fee, distinguish those paid services from the commitment said to justify the equity.
What reverse vesting can and cannot do
Reverse vesting generally involves an upfront acquisition combined with a contractual obligation to return shares if specified conditions occur.
It can support the commercial explanation for a service-linked participation. It does not automatically postpone acquisition for tax purposes. Economic ownership, voting and dividend rights, and the actual restrictions must be reviewed.
Leaver events, repurchase rights and pricing should be precise and legally enforceable. An indiscriminate right to recover every share at nominal value can raise different issues from a proportionate arrangement distinguishing earned and unearned interests.
The purchase agreement, shareholders' agreement and service agreement should describe one consistent transaction. GmbH share transfers and obligations to transfer shares also require attention to German notarial formalities.
Fees, dividends and a future sale need their own analysis
The acquisition is only the first tax event. Ongoing service fees, dividends and eventual disposal proceeds require separate treatment.
Related-party fees need a commercial basis and evidence of services actually delivered. A German office, representative or place of management can alter the foreign provider's tax position. A low number of travel days is not a general safe harbour.
Do not assume that forming a US LLC automatically grants German-US treaty benefits. Entitlement depends on the relevant taxpayer, residence and treaty conditions.
Before choosing a structure, compare the German treatment with taxation and reporting in the owner's country of residence and in the United States. A favourable result in one jurisdiction does not establish the overall cost.
What should be settled before closing?
The end of German residence and the treatment of interests already owned.
The German classification of any LLC and where it is actually managed.
The fair market value of the shares at acquisition.
The distinction between cash consideration, services and any gratuitous element.
The acquisition route, economic ownership and enforceable leaver provisions.
The subsequent treatment of fees, dividends and sale proceeds in each relevant jurisdiction.
A coordinated tax and legal review before signing is more useful than trying to reconstruct the commercial rationale after a challenge.
FAQ
Does deregistering in Germany end German tax residence?
Not necessarily. Actual access to a dwelling and habitual abode must also be examined; deregistration is evidence rather than the complete test.
Can shares in a new GmbH be acquired at nominal value without tax?
Possibly, but nominal value is not proof of fair market value. The valuation and the full consideration must support the treatment.
Does a US disregarded LLC remain transparent in Germany?
Not automatically. Germany applies its own comparison of the entity's legal features.
Does reverse vesting defer tax until the shares vest?
Not automatically. The acquisition of economic ownership must be assessed from the actual rights and restrictions.
Is buying existing shares safer than a capital increase?
The routes can raise different gift tax and company-law questions. Their treatment depends on the mechanics and valuation; neither is universally safe.
Can German tax still matter after moving abroad?
Yes. German-source income, gift tax connecting rules and specific departure-related provisions can remain relevant, depending on the circumstances.
